Agreement to Terms

By creating an account, accessing, or using CrediVitals (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), as well as our Privacy Policy, which is incorporated by reference.

These Terms constitute a legally binding agreement between you ("you," "your," or "User") and ILSA Industries LLC, doing business as CrediVitals ("CrediVitals," "Company," "we," "us," or "our").

If you do not agree to these Terms, you must not access or use the Service.

We may update these Terms from time to time. Your continued use of the Service after any changes indicates your acceptance of the updated Terms. If you disagree with any changes, you must stop using the Service and delete your account.

Eligibility Requirements

To create an account and use CrediVitals, you represent and warrant that:

Age Requirement

•You are at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is higher)

•If you are between 18 and the age of majority in your jurisdiction, you have your parent's or legal guardian's permission to use the Service

Legal Capacity

•You have the legal capacity and authority to enter into a binding contract

•You are not barred from using the Service under any applicable laws

Geographic Availability

•You are a resident of the United States or another jurisdiction where the Service is available

•You will not access the Service from any jurisdiction where it is prohibited

Account Restrictions

•You have not previously had an account terminated by us for violation of these Terms

•You are creating an account for your own personal use, not on behalf of a third party

Account Registration and Security

Creating Your Account

To access the full features of CrediVitals, you must create an account. When registering, you agree to:

•Provide accurate, current, and complete information during registration

•Maintain and promptly update your account information to keep it accurate and complete

•Use a valid email address that you own and have access to

Account Security

You are responsible for maintaining the security of your account. You agree to:

•Keep your password and passkey credentials confidential and secure

•Not share your account credentials with any other person

•Use strong, unique passwords or passkeys for your account

•Enable additional security features when available (such as passkey authentication)

•Log out of your account when using shared devices

Unauthorized Access

You must immediately notify us at security@credivitals.com if you become aware of:

•Any unauthorized use of your account

•Any breach of security or loss of your credentials

•Any suspicious activity related to your account

You are responsible for all activities that occur under your account, whether or not you authorized them. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Description of the Service

What CrediVitals Does

CrediVitals is a personal finance management application that helps you track and manage your credit cards, view transaction history, and gain insights into your spending. The Service allows you to:

•Connect Credit Card Accounts: Securely link your credit card accounts from various financial institutions through our integration with Plaid

•View Account Information: See your current balances, credit limits, available credit, and credit utilization percentages across all linked cards

•Track APR and Interest: View annual percentage rates and estimated interest charges to help you understand the cost of carrying a balance

•Monitor Due Dates: Keep track of payment due dates and minimum payments due for each of your credit cards

•Receive Reminders: Get notifications before payment due dates to help you avoid late fees and interest charges

•View Transaction History: Access your complete transaction history from linked credit cards, including merchant names, amounts, dates, and categories

•Analyze Spending: Get expense insights showing spending patterns by category, merchant, and time period to help you understand where your money goes

How the Service Works

CrediVitals connects to your financial institutions through Plaid, a secure financial data aggregation service. When you link an account:

•Your bank login credentials are transmitted directly to Plaid using bank-level encryption — we never see or store your banking passwords

•Plaid retrieves your account information and transaction history and transmits it to CrediVitals

•We display and analyze this information to provide you with insights and reminders

•Account data is refreshed periodically to keep your information current

Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

•Scheduled maintenance (we'll try to notify you in advance)

•Unplanned technical issues or outages

•Third-party service disruptions (including Plaid or your financial institutions)

•Force majeure events beyond our control

Subscription and Payments

Subscription Plans

CrediVitals may offer both free and paid subscription tiers. Paid subscriptions may include additional features, higher account limits, or premium support. The specific features and pricing of each plan are described in the app and on our website.

Free Trial

We may offer a free trial period for new users. During the trial:

•You'll have access to premium features for the trial duration

•No payment is required during the trial period

•At the end of the trial, you'll be prompted to subscribe or continue with limited free features

•We will not automatically charge you when the trial ends

Billing and Payment

If you subscribe to a paid plan:

•Payment will be processed through the App Store (iOS) or Google Play (Android)

•Subscriptions automatically renew unless you cancel before the renewal date

•Prices may change, but we'll notify you before any price increase takes effect

•All payments are non-refundable except as required by applicable law or as described below

Cancellation

You may cancel your subscription at any time through your App Store or Google Play account settings. Upon cancellation:

•You'll retain access to paid features until the end of your current billing period

•Your subscription will not renew for the next billing period

•You can continue using free features after your paid subscription ends

•Recommendations to open, close, or manage specific accounts

Any information, calculations, or suggestions provided by the Service are for informational purposes only and should not be relied upon as the sole basis for making financial decisions.

Data Accuracy Limitations

While we strive to display accurate information, you acknowledge that:

•Interest Estimates Are Approximations: Interest calculations shown in the app are estimates based on the APR data provided by your financial institutions. Actual interest charges may vary based on factors including compound interest calculations, grace periods, payment timing, and your institution's specific terms.

•Data May Be Delayed: Account information may not reflect real-time balances. There may be delays between when a transaction occurs and when it appears in the Service.

•Data May Differ From Official Records: The information displayed may differ from your official account statements due to timing, data synchronization issues, or other factors.

•Not All Data May Be Available: Some financial institutions may not provide certain data points (such as APR), or may provide incomplete information.

Your Responsibility

You are solely responsible for:

•Verifying all important financial information directly with your financial institutions before making decisions

•Reviewing your official account statements regularly

•Making timely payments to your credit card issuers (the Service's reminders are a convenience, not a guarantee)

•Seeking professional financial, tax, or legal advice when needed

The Service is not a substitute for reviewing your official account statements, and we are not responsible for any financial decisions you make based on information displayed in the app.

User Conduct and Prohibited Activities

Acceptable Use

You agree to use the Service only for its intended purpose: managing and tracking your own personal credit card accounts for your own benefit.

Prohibited Activities

You agree NOT to engage in any of the following:

Security Violations

•Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our systems

•Circumvent, disable, or interfere with security features of the Service

•Probe, scan, or test the vulnerability of the Service or any related system

•Use any automated system, including bots, crawlers, or scrapers, to access the Service

Misuse of the Service

•Use the Service for any illegal, fraudulent, or unauthorized purpose

•Link financial accounts that you do not own or have authority to access

•Use the Service to commit fraud, identity theft, or other financial crimes

•Transmit any malware, viruses, or harmful code through the Service

Interference with the Service

•Interfere with, disrupt, or create an undue burden on the Service or its infrastructure

•Attempt to overload, flood, or crash the Service

•Interfere with any other user's ability to use the Service

Intellectual Property Violations

•Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service

•Copy, modify, or create derivative works based on the Service

License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

•Download and install the CrediVitals app on your personal mobile device

•Access and use the Service for your personal, non-commercial use

This license does not include the right to:

•Modify or copy the Service or any part of it

•Use the Service for any commercial purpose or for the benefit of any third party

•Transfer your license to anyone else

Your Content

You retain ownership of any content you provide to the Service (such as feedback or support communications). By providing content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content to provide and improve the Service.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without any obligation to compensate you or keep it confidential.

Third-Party Services and Links

Plaid Integration

The Service uses Plaid Inc. to connect to your financial institutions and retrieve your transaction history. We use Plaid's Transactions and Liabilities products to provide you with account information, transaction data, and expense insights. When you use this feature, you acknowledge that:

•Your use of Plaid is subject to Plaid's End User Privacy Policy (https://plaid.com/legal/end-user-privacy-policy/)

•You are granting Plaid the right to transmit, use, and store your credentials and account data in accordance with their privacy policy

•Plaid's services are provided "as is" and we are not responsible for Plaid's performance or availability

Other Third-Party Services

The Service may contain links to or integrate with other third-party services. These services are not under our control, and we are not responsible for their content, privacy practices, or terms of service.

App Stores

If you download the Service from the Apple App Store or Google Play Store, you also agree to their respective terms of service. In case of conflict between these Terms and the app store terms, the app store terms will prevail with respect to your use of the app store.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

We specifically disclaim all implied warranties, including but not limited to:

•Merchantability: We do not warrant that the Service will meet your requirements or expectations

•Fitness for a Particular Purpose: We do not warrant that the Service is suitable for any particular use

•Non-Infringement: We do not warrant that the Service does not infringe any third-party rights

•Accuracy: We do not warrant that any information provided through the Service is accurate, complete, reliable, current, or error-free

•Availability: We do not warrant that the Service will be uninterrupted, secure, or free from errors, viruses, or other harmful components

We do not control and are not responsible for:

•The availability or accuracy of data from your financial institutions

•The performance or availability of third-party services (including Plaid)

•Actions or inactions of your financial institutions

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Types of Damages Excluded

IN NO EVENT SHALL CREDIVITALS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

•Indirect, incidental, special, consequential, or punitive damages

•Loss of profits, revenue, data, goodwill, or other intangible losses

•Damages resulting from unauthorized access to or alteration of your data

•Damages resulting from any interruption or cessation of the Service

•Damages resulting from financial decisions made based on information in the Service

Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

•The amount you paid to us for the Service in the 12 months preceding the claim, or

•$100 USD

Basis of the Bargain

These limitations of liability reflect the allocation of risk between you and us and are an essential basis of the bargain between us. The Service would not be provided without these limitations.

Some jurisdictions do not allow the limitation of liability for certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless CrediVitals, ILSA Industries LLC, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

•Your use or misuse of the Service

•Your violation of these Terms

•Your violation of any applicable law or regulation

•Your violation of any rights of a third party

•Any content or information you provide through the Service

•Your negligence or willful misconduct

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

Termination

Termination by You

You may terminate your account at any time by:

•Using the account deletion feature in Settings → Account → Delete Account

•Emailing us at support@credivitals.com with your deletion request

Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to:

•Violation of these Terms

•Fraudulent, illegal, or abusive activity

•Non-payment of subscription fees (for paid accounts)

•Extended periods of inactivity

•Request by law enforcement or government agencies

•Discontinuation of the Service (in whole or in part)

Effects of Termination

Upon termination of your account:

•Your right to access and use the Service will immediately cease

•Your data will be deleted in accordance with our Privacy Policy

•Any unused portion of a prepaid subscription will not be refunded (unless required by law)

Survival

The following sections will survive termination: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and any other provisions that by their nature should survive.

Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We may:

•Add or remove features or functionality

•Change pricing or subscription terms

•Impose limits on certain features or access

•Discontinue the Service entirely

We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Modifications to These Terms

We may revise these Terms from time to time to reflect changes in our Service, legal requirements, or business practices.

How We'll Notify You

When we make material changes to these Terms, we will:

•Update the "Last Updated" date at the top of these Terms

•Post the revised Terms within the app

•Send you an email notification (for material changes)

•Display an in-app notification when you next open the app

Your Continued Use

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in New York County (Manhattan), New York, and you consent to the personal jurisdiction of such courts.

Dispute Resolution

Informal Resolution

Before filing a formal legal claim, you agree to contact us at legal@credivitals.com to attempt to resolve the dispute informally. We'll try to resolve the dispute within 60 days.

Binding Arbitration

If we cannot resolve the dispute informally, you and CrediVitals agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court, except that:

•Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access

•Claims that qualify for small claims court may be brought there

Class Action Waiver

YOU AND CREDIVITALS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CrediVitals regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except for indemnified parties as specified above.

Notices

We may send you notices via email, in-app notifications, or by posting on the Service. You may send us notices at legal@credivitals.com.

Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet failures.
